Supporting Institutional Investors With Transaction Counsel in Global Markets

Experienced transaction counsel focused on debt and equity finance transactions and private fund investments in the US and across the globe.

Who We Are

Hills Stern LLP is a Washington D.C-based boutique law firm focused on representing institutional investors, governments, and other market participants in investment transactions and sovereign advisory matters in the U.S. and across the globe. Each partner has more than 20 years of experience structuring and negotiating US and international transactions in the finance and investment space across a broad range of industry sectors, asset classes and legal jurisdictions.  Most of our partners have served as senior in-house counsel in large sovereign finance and investment institutions.  As a result, we offer a unique depth of understanding of governmental investors that are sensitive to reputational risk and driven by policy considerations, in addition to being return-focused.  We have a proven track record of efficiency in closing finance and investment transactions, including complicated cross-border matters involving most of the world’s money-center jurisdictions and largest emerging markets, and extensive experience in negotiating the terms and conditions most important to institutional investors.

Our collective knowledge of finance and investment markets, network of international relationships (including in the legal, lending and PE/VC asset management and investment communities), in-house experience and small firm profile distinguishes Hills Stern as a trusted partner for borrowers, lenders, asset managers and institutional investors across the globe.

What We Do

Our core practice areas include the representation of institutional investors in private funds targeting either the U.S. market or the emerging markets, as well as borrowers and lenders in development finance transactions across the globe.  We also assist asset management clients and institutional investors with regulatory compliance, the development of internal policies and procedures, and portfolio monitoring matters; political risk insurers with projects and programs overseas; and sovereign clients with technical assistance and strategic situation management.
